Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Pleasant Oak Solutions LLC ("Pleasant Oak," "we," "us," or "our"). They govern your use of pleasantoak.solutions, pleasantoaksolutions.com, and any related tools, forms, downloads, and paid services (together, the "Services"). By using the Services you accept these Terms.
1. Who can use the Services
You must be at least 18 years old and able to form a binding contract. If you are using the Services on behalf of a business, you represent that you have authority to bind that business, and "you" means both you and the business.
2. Free tools and content
We offer free resources on the Site — including the free website audit, The Almanac, blog posts, and downloadable guides. These are provided for general informational purposes, "as is," without warranty of any kind. They are not legal, tax, financial, or professional advice, and results vary from business to business.
3. Paid audits and engagements
Paid services — including the detailed website audit report, AI-consulting engagements, web-design projects, and ongoing support — are governed by (a) the specific proposal or statement of work you accept and (b) these Terms. If the proposal and these Terms conflict, the proposal controls for that engagement.
4. Fees and payment
- Prices are in US dollars and shown at checkout or in your accepted proposal. Applicable sales tax will be added where required.
- Payments are processed by Stripe. By paying, you agree to Stripe's terms in addition to ours.
- Recurring subscriptions renew automatically at the interval shown at signup until you cancel. Cancel any time from the client portal or by emailing us.
- Refunds are governed by our Refund Policy.
5. Your responsibilities
- Provide accurate information and timely responses so we can do the work.
- Only submit content you own or have the right to use, and hold all licenses for trademarks, logos, and copy you give us.
- Do not use the Services to break the law, infringe others' rights, spam anyone, or try to disrupt or reverse-engineer the Site.
- Keep your client-portal login credentials confidential.
6. Intellectual property
The Site, brand, copy, code, and unmodified templates are owned by Pleasant Oak. On delivery and full payment of a project, you own the final deliverables — your website code, copy, and content — except for third-party components (fonts, stock photos, plugins, SaaS platforms) which remain governed by their own licenses. We retain the right to reuse general know-how, methods, and non-client-identifying learnings from the work. We may also feature the project in our portfolio and case studies unless you tell us in writing not to.
7. Third-party services
Projects often involve third-party platforms (Stripe, Lovable, Supabase, Google Workspace, Squarespace, hosting providers, etc.). We are not responsible for their uptime, pricing changes, policy changes, or discontinuation. Fees you owe those providers are separate from ours.
8. Disclaimers
The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any specific business, revenue, or search-ranking outcome will occur.
9. Limitation of liability
To the fullest extent permitted by law, Pleasant Oak's total liability for any claim arising out of or relating to the Services will not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) US $100. We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, even if advised of the possibility.
10. Indemnification
You agree to indemnify and hold Pleasant Oak harmless from claims arising out of (a) the content, materials, or instructions you provide, (b) your violation of these Terms, or (c) your violation of any law or third-party right.
11. Termination
You can stop using the Services at any time. We may suspend or terminate your access if you violate these Terms, fail to pay, or use the Services in a way that risks harm to us or others. Sections that by their nature should survive termination (payment, IP, disclaimers, liability limits, dispute resolution) will survive.
12. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in San Diego County, California, and you consent to personal jurisdiction there.
13. Changes
We may update these Terms from time to time. Material changes will be posted here with a new effective date. Continued use of the Services after a change means you accept the updated Terms.
